Törngren Magnell assisted in the divestment of Legevisitten Bemanning
Törngren Magnell has assisted Legevisitten Holding in the sale of Legevisitten Bemanning, a leading Swedish and Norwegian physician staffing company, to Proffice.
Legevisitten Bemanning is a provider of physician staffing solutions to county councils, municipalities and private healthcare providers in Sweden and Norway. In 2009, it achived sales of SEK 203 million. After the divestment, Legevisitten will continue to focus on its healthcare services with 550 employees in 15 operational units.

Törngren Magnell assisted Jernhusen in real property transaction
Törngren Magnell has assisted Jernhusen in the sale of the two properties Sundbybergshuset and Centralhuset Sundbyberg situated in Sundbyberg CBD. The buyer was AMF and the purchase price amounted to MSEK 465. In total, the properties comprise app. 17,000 sqm offices and store premises.
Jernhusen owns, manages and develops a property portfolio of stations, offices and workshops along the Swedish railway. Jernhusen is wholly owned by the Swedish state.

Törngren Magnell assisted Jernhusen in connection with a SEK 9.5 billion financing
Törngren Magnell has advised Jernhusen AB in connection with the refinancing of a 5.5 billion revolving credit facility with Nordea as mandated lead arranger, the increase of its domestic commercial paper programme up to SEK 3 billion with Nordea, SEB and Handelsbanken as dealers and and the establishment of a new SEK 1 billion back-up facility with Nordea as lender.

Törngren Magnell has advised Procuritas Capital Investors IV LP in connection with the acquisition of Oral Care AB, a niche company which provides dental care to elderly and disabled persons in their residences through outreach mobile dentistry. Procuritas Capital Investors IV LP is a private equity fund focusing on mid-market buy-outs in the Nordic region.
Over the last few years Oral Care has had an annual growth rate in excess of 50% and is today active through offices in Stockholm, Malmö and Gothenburg, with start-up operations in Linköping and Karlstad.

Törngren Magnell advised Royal Bank of Scotland on a SEK 861,700,000 Swedish export financing transaction with Russian oil company Rosneft, which recently was awarded “Deal of the Year 2009” by Euromoney’s Trade Finance Magazine.
Royal Bank of Scotland has as sole mandated lead arranger structured a Swedish export financing deal of SEK 861,000,000 (USD 120,000,000) to the Russian oil company Rosneft. The ten-year credit facility is guaranteed by the Swedish Export Credits Guarantee Board and has been assigned to the Swedish Export Credit Corporation. Rosneft is the leader of Russia’s petroleum industry and is primarily engaged in exploration and production of hydrocarbons and production of petroleum products and petrochemicals. The Russian state holds 75 per cent. of the shares in the Company, which under 2009 had revenues of USD 46 billion.

Törngren Magnell advised Procuritas Capital Investors IV LP in the acquisition of Waterjet Entreprenad
Törngren Magnell has advised Procuritas Capital Investors IV LP, in the acquisition of Waterjet Entreprenad, a leading operator in the market for repair and rehabilitation of concrete infrastructure.
Waterjet Entreprenad uses highly specialized equipment with extremely high pressure water jets to remove damaged concrete, a method called hydro demolition. More than half of Waterjet’s sales occur to public entities, such as rail and road authorities, and the remainder goes to private sector clients, such as parking house owners, pulp and paper mills, and larger construction companies. The company is headquartered in Lidingö outside Stockholm and has two regional offices in Karlstad and Skellefteå.

Teres Medical Group AS is the leading Norwegian privately owned surgery group with 10 clinics spread across Norway and an annual turnover exceeding NOK 300 million.
Plastikkirurggruppen Sabbatsberg AB is a privately owned plastic surgery clinic with premises at Sabbatsberg hospital in Stockholm. The clinic performs both aesthetic plastic surgery on private individuals and reconstructive plastic surgery for Stockholm County Council and other Swedish County Councils on the basis of a public care provider agreement.

Törngren Magnell has advised AAC Capital Partners, a leading Northern European mid-market buy-out firm, in connection with its acquisition of Envirotainer, the world leader in temperature controlled logistics for the pharmaceutical industry, from Industrifonden and a number of private investors.
Envirotainer designs, manufactures and rents specialist air cargo containers for the transportation of temperature sensitive pharmaceuticals. Headquartered in Lagga, Sweden, the business has grown substantially to form a strong worldwide presence since it was first established in 1984. Today, the business covers the major trade routes for biological pharmaceuticals, with service hubs in 26 countries and sales of around €31 million.

Törngren Magnell has advised Vectura Consulting AB on their acquisition of Geo Innova AB. Vectura consists of approximately 1000 consultants at more than 40 localities in Sweden. Vectura offers consultant services within investigation and analysis, planning, constructing and project leading, and also operation and maintenance within the areas land and community, railway, construction and traffic systems.
Geo Innova is active within the area of risk assessment and after-treatment of contaminated ground, permits, waste technique and the use of alternative materials within construction.
