Törngren Magnell has advised Reiten & Co in the acquisition of Basefarm

Törngren Magnell has advised Reiten & Co Capital Partners VII L.P. in connection with its acquisition of the Norwegian company Basefarm AS, with its Swedish subsidiary Basefarm AB, from the media group Schibsted.

Basefarm provides operational services to businesses that use the internet as an important channel for reaching customers, employees and partners. Basefarm was founded in Norway in 2000 and in Sweden in 2003, and had a turnover in 2008 of NOK 208 million. Swedish customers include Svenskt Näringsliv, Tasteline.se, Canal +, TV4 och Länsförsäkringar. The transaction values Basefarm at NOK 255 million on a debt free basis.

Törngren Magnell advised Reiten & Co as to Swedish matters in the transaction.

Törngren Magnell assists PBM Sweden AB in private placement

Törngren Magnell has acted as legal counsel to PBM Sweden AB in connection with a directed share issue to Innovationskapital and its fund InnKap 4 LP. PBM operates programs within rehabilitation, leadership, education and organizational development based on scientifically proven methods in cognitive behavioral therapy. The customers, who mainly consist of county councils, insurance companies and private companies, are offered increased profitability through improved leadership and healthier employees.

Törngren Magnell assisted Ecole Française in real property acquisition

Törngren Magnell has assisted Ecole Française in its acquisition of Fastighets AB Fattighuset, which company owns the property Oxen Mindre 10 at Döbelnsgatan in Stockholm. Seller was SAMI (Swedish Artists and Musicians Interest Organisation). The acquired property is situated adjacent to Ecole Française’s present premises. As a result of the acquisition, Ecole Française will be able to successively increase the number of students from 800 to 980.

Törngren Magnell assisted in the acquisition of the property Centralhuset in Gothenburg

Törngren Magnell has advised Jernhusen on their acquisition of the property Centralhuset in Gothenburg, which is located in immediate connection with the Central Station. Centralhuset extends over 10 600 square meters rental area divided into shops and offices.

Jernhusen owns, administrates and develops properties consisting of railway stations, service depots and goods terminals along the Swedish railway. Jernhusen is fully owned by the Swedish State and owns approximately 300 properties, with a market value of approximately SEK 7 billion.

Törngren Magnell has advised Vectura Consulting AB on their acquisition of Railize International AB. Vectura consists of approximately 1000 consultants at more than 40 localities in Sweden. Vectura offers consultant services within investigation and analysis, planning, constructing and project leading, and also operation and maintenance within the areas land and community, railway, construction and traffic systems.

Törngren Magnell continues rapid growth

Törngren Magnell was the second fastest growing law firm in Sweden during 2008, according to Swedish business magazine Affärsvärlden. During 2008, the number of employees increased with new partners as well as associates. The revenues increased with 34 per cent, placing the firm in the top layer of expanding law firms in Sweden. During 2009 the expansion has continued, and recently Törngren Magnell doubled its office facilities to accommodate the firm’s continued growth. The firm’s address remains at Regeringsgatan 38.

Network Innovation is a leading distributor in Sweden of graphic and photo equipment accessories for both the professional and retail segments, with an annual turnover of SEK 110 million (EUR 10 million). Törngren Magnell advised EuroMaint Industry on its acquisition of EISAB

Törngren Magnell has advised EuroMaint’s subsidiary EuroMaint Industry on its acquisition of EISAB Energi och Industriservice. EISAB offers installation, reparation and maintenance services to waste-to-energy plants and its annual sales amount to approximately SEK 130 million. Ratos acquired the EuroMaint group in 2007 and the present acquisition of EISAB is of strategic importance to EuroMaint Industry, which is a leading provider of advanced industrial maintenance services.

Törngren Magnell assist in the reorganization of the optician chain Synsam

Synsam Nordic AB has acquired 87 optician stores that previously conducted their business in the form of franchise for the Synsam brand. Through previous acquisitions of Profil-Optik in Denmark and around 40 Synsam franchise stores in Norway Synsam Nordic AB becomes the biggest optician chain in the Nordic region. The chain now consists of 400 stores, where Synsam Nordic AB owns 65 %, and a turn-over of SEK 3 billion.

Törngren Magnell assisted a majority of the individual sellers who sold their franchise stores to Synsam Nordic AB. The team consisted of Jens Haneklint, Sten Hedbäck, Niclas Högström, Lina Söderström, Sophie Rettig, Sophie Nossman, John Ohlsson and Jill Hagberg.

Törngren Magnell has advised Northzone Ventures and Amadeus Capital

Törngren Magnell has advised Northzone Ventures and Amadeus Capital on their SEK 130 million investment in Tobii Technology, a world leader in hardware and software solutions for eye tracking. Eye tracking technology enables a computer to register exactly where a person is looking. The technology is currently applied within e.g. assistive technology (i.e. tools for disabled people) and marketing analysis. Investor Growth Capital, one of Tobii Technology's existing shareholders, co-invested approximately SEK 40 million.

Törngren Magnell launches Brazil Desk and sets up São Paulo office

In its ambition to broaden the firm's presence and activity on new international markets, Törngren Magnell has, as the first Nordic law firm, set up a Brazil Desk. The effort aims at providing legal support to Brazilian companies already conducting business in or planning to enter the Swedish market as well as to Swedish companies already acting on or planning to establish themselves on the Brazilian market.

The operations are headed by Sten Hedbäck who during 2003 to 2005 acted as chief legal counsel for the Electrolux Group's operations in Latin America, based in Brazil.

In order to be able to provide local legal support in Brazil, Törngren Magnell will also be represented in São Paulo. Through its presence in São Paulo, Törngren Magnell will be able to assist Brazilian companies which plan to invest in Europe or which face other export related legal issues, already in an early stage of the process. The São Paulo office will be headed by Brazilian lawyer Otávio Lucchese, who acted as chief legal counsel for the Electrolux Group's operations in Latin America during 2005 to 2008.

Törngren Magnell assists Carnegie Investment Bank on the sale of AB Skrindan

On 17 March 2009, the shares in AB Skrindan are offered for sale at public auction. AB Skrindan is a wholly owned subsidiary of Maths O. Sundqvist's wholly-owned parent company Moose Förvaltning AB. The shares are offered for sale since the shares have been made available to security for the promissory note claim which Maths O. Sundqvist pledged collateral for his debts in Carnegie Investment Bank.

Carnegie Investment Bank has appointed Törngren Magnell as auctioneer for the public auction. Partner in charge is Peter Törngren with the assistance of Tobhias Brandell and Sophie Nossman.

John Ohlsson awarded prize for best graduation thesis

John Ohlsson has been awarded prize by the Foundation of Securities Law for his graduation thesis "Exemptions from Mandatory Bid Rules". The prize is annually awarded to the student who has written the best graduation thesis in securities law among Swedish universities. At the prize ceremony held at the Swedish Securities Dealers Association, John made a presentation of his thesis for special invited guests.
