Törngren Magnell assists LRF Media in the asset transfer of the media group TTG Sverige
LRF Media has acquired the media group TTG Sverige through an asset transfer, which thereby strengthens its position on the media market in Sweden. The acquired assets include magazines such as Cosmopolitan Sweden, Residence, Vi Båtägare, Segling, Båtnytt and Allt om Kök & Bad.
Törngren Magnell, through Niclas Högström, Lina Söderström, John Ohlsson and Jill Hagberg, assisted LRF Media in the acquisition.
LRF Media is wholly owned by LRF, The Federation of Swedish Farmers and has a yearly turnover of approximately SEK 500,000,000.

Törngren Magnell assists Pyr Invest in acquisitions of shares in NGM Holding
Törngren Magnell assists Pyr Invest in connection with its acquisitions of shares in NGM Holding. Pyr Invest is an investment company making long-term investments in Swedish listed companies. NGM Holding is the owner of NGM which offers listing and trading in equities on NGM Equity and derivatives on the Nordic Derivatives Exchange (NDX). The Swedish Financial Supervisory Authority has granted Pyr Invest permission to acquire up to 44 percent of the capital and 58 percent of the votes in NGM.

Törngren Magnell's Japan Desk helps Kringle Pharma establish joint venture with Tripep
Törngren Magnell has assisted the Japanese company Kringle Pharma, Inc. in its establishment of a joint venture company with Tripep AB (publ). Kringle Pharma is a world leader in the clinical development of Hepatocyte Growth Factor. Tripep produces pharmaceuticals against chronic diseases in collaboration with the Karolinska Institute and the University of Uppsala. The new joint venture company will focus on the clinical development of the wound-healing medicine ChronSeal.

Vikström & Andersson Asset Management is a Stockholm based asset management company, which will be the manager of Density Fund. Viktor Magnell has been appointed chairman of the board, with Lina Söderström as its compliance officer. Vikström & Andersson Asset Management has entered into a strategic and financial partnership with SEB, which also acts as seed investor in Density Fund.

Törngren Magnell has advised Procuritas in connection with add-on acquisition in Olivia
In February 2008 Procuritas acquired the majority of the Swedish nursing group Olivia, involved in geriatric care,
personal assistance and home help service. In 2007, the Olivia group had total revenues of approximately
SEK 250 million. Olivia has now acquired Nordström Assistans and E S Nordström Omsorg & Utbildning from the
founders. The two companies had combined revenues of approximately SEK 175 million in 2007.

Törngren Magnell advised Litorina Kapital in connection with the financing of the acquisition of

Textilia is a leading group within the Swedish laundry and textile service business and its customers
are mostly found in public service. Textilia was founded in 1997 and its annual sales amount to

Törngren Magnell assisted in the acquisition of Labco
The French banks, Natixis and Crédit Industriel have financed the acquisition of Labco, a leading pan
European medical diagnostics company. The financing consisted of a EUR 350,000,000 senior credit facility
and senior and junior mezzanine credit facilities of a total principal amount of EUR 120,000,000.
Törngren Magnell advised the banks above as to Swedish law and the firm’s team consisted of Tobhias Brandell,
Miriam Salme and Jill Hagberg.
Labco is a leading pan European medical diagnostics company. Its network of clinical laboratories has, since the
start in France in 2003, grown into a business of clinics in Spain, Germany, Italy, Portugal and Belgium.
The network includes more than 300 laboratories treating over 8 million patients a year. Labco generated
EUR 220,000,000 in sales in 2007. |

Törngren Magnell assisted Edita in its acquisition of Citat Group
Törngren Magnell, together with Magnus Hybbinette, assisted the Finnish communication production
group Edita in its acquisition of Citat Group from Bure Equity. Citat is a leading communication
producer assisting marketing departments with consultancy services, outsourcing and production of
communication material. The deal creates the largest communication producer in the Nordic region
with a turnover exceeding SEK 1,3 billion and with over 1 000 employees in four countries.
The purchase price amounted to SEK 366 million.

Törngren Magnell has advised Jernhusen AB in connection with the establishment of a domestic commercial paper programme.
The programme is arranged by Nordea and the maximum principal amount is SEK 2,000,000,000. In addition to Nordea,
SEB and Svenska Handelsbanken participate as dealers.
Jernhusen owns, manages and develops a property portfolio of stations, offices and workshops along the Swedish railway.
Jernhusen is a wholly owned subsidiary of the holding company Swedcarrier which is owned by the Swedish state.

Terminalhotellet HB operates Comfort Hotel in World Trade Center in Stockholm. Jernhusen has been the
owner of fifty per cent of Terminalhotellet and has now sold its share to Choice Hotels Scandinavia AS,
which company thereby will be the sole owner of Terminalhotellet. Jernhusen was assisted by Törngren Magnell
with Jens Haneklint as responsible partner. |

Törngren Magnell assisted in the sale of Didaktus
Törngren Magnell has assisted the sellers of Didaktus AB in connection with the sale of the company to
Bure's independent school group Anew Learning. Didaktus operates three high schools and provides adult
education in the Stockholm area and had in the financial year 2006/2007 a turnover of appr. SEK 94 million.
Didaktus' high schools have a total of around 1,000 pupils and primarily offer programmes focusing on
childcare and other care services. Didaktus also provides adult education consisting of municipal high
school equivalency and vocational programmes with around 400 pupils and contract education on behalf of
private and public sector organisations.

Sakthi Automotive Group, with several foundries in Europe and India, has acquired the Arvika Gjuteri Group.
Sakthi Automotive Group, with head office in Germany, is owned by Sakthi Sugars Ltd, a company listed in India.
Arvika Gjuteri, which includes facilities in Norrahammar, expects sales of approximately SEK 500 million during 2008.
Arvika Gjuteri will thereby become a significant part of the Sakthi Group.

Törngren Magnell sets up a Japan Desk
Törngren Magnell is the first Nordic law firm to set up a Japan Desk, providing legal support to Japanese
companies in Sweden as well as Japanese companies planning to enter the Swedish market. Miriam Salme, who speaks
Japanese and has a Japanese background, heads up the Japan Desk.
As part of its efforts to promote itself to potential clients in Japan, in February 2008, Törngren Magnell
spoke at the Investment Seminar 2008 at the Embassy of Sweden in Tokyo. The event was organised by the Invest
in Sweden Agency and was attended by more than 90 people from the Japanese business community. Peter Törngren and
Miriam Salme held a presentation on “M&A in Sweden from a Legal Perspective”.
In November 2007, Törngren Magnell held a legal seminar in cooperation with JETRO and JBC for Japanese business
executives in Sweden. |
